Abstract:
Small and medium scale enterprises are critical for developing countries because of their role in economic growth and poverty reduction. As companies globally face issues relating to transparency, accountability and timely disclosure of material information, the concept of corporate governance and business ethics has gained significance importance. This study was intended to investigate the importance of Ethics and Corporate Governance in Medium Scale Enterprises. Methodology of study used by the researcher includes random sampling techniques, questionnaires and interviews. The instrument of data analysis used the chi-square test (X2).The findings from the three selected organization shows that ethics and corporate governance have great impact on the overall performance of Medium Scale Enterprises. This agrees with some earlier works on the research topic. Thus, the researcher in her recommendation encourages every organization to formulate sound ethics and good communication of instructions in all its functional areas to guide employees' in their job. This will lead to greater productivity of the organization concerned. The obvious conclusion drawn from the study was that the efficiency or performance of any organization depends on the quality of its ethics and corporate governance.
